Terms of Service

This Terms of Service (this "Agreement") governs your access to and use of Scales By Suzy (the "Service"), provided by Artwork by Suzy, LLC, d/b/a Software by Suzy ("Company," "we," "us," or "our"). By creating an Account, starting a Trial, or purchasing a Subscription or Lifetime Access, you (a "User") agree to be bound by this Agreement. If you do not agree to this Agreement, you may not access or use the Service.

1. Definitions

"Company" means Artwork by Suzy, LLC, d/b/a Software by Suzy.
"Account" means the registration you create in order to access the Service.
"Content" means any text, audio, notation, data, or other materials made available through the Service.
"Plan" means a Monthly, Annual, or Lifetime plan as described in Section 5.
"Subscription" means an active Monthly or Annual Plan, which renews automatically until cancelled.
"Lifetime Access" means the one-time Lifetime Plan described in Section 5(c). Lifetime Access is not a Subscription — it does not renew and is not billed on a recurring basis.
"Trial" means the free trial period described in Section 4.
"User" means any person who creates an Account.
"Trial User" means a User who is in the Trial period and has not yet obtained a Subscription or Lifetime Access.
"Paying User" means a User with an active Subscription or Lifetime Access.
"Subscriber" means a Paying User who has a Subscription.
"Lifetime Access holder" means a Paying User who has Lifetime Access.
Time. Except as otherwise stated in this Agreement, all references to time in this Agreement, our Privacy Policy, and our Refund Policy mean Coordinated Universal Time (UTC), and each day begins at 00:00 UTC. Notwithstanding the foregoing: (i) any deadline applicable to a User or to Company means 11:59 PM Pacific Time on the stated date, unless a different time is expressly stated; and (ii) days credited toward the Trial's login requirement are counted using Pacific Time.
"Business Day" means Monday through Friday, excluding U.S. federal holidays.
"Month" means a calendar month — that is, the period from a given date to the same date in the following month (or the last day of that month, if it has no corresponding date).

2. The Service

Scales By Suzy helps musicians learn scales across instruments and tunings. Access requires an Account, which requires a valid email address capable of receiving mail, and, after any Trial period, a Subscription or Lifetime Access.

3. Eligibility and Representations

You must be at least 13 years old to create an Account. By creating an Account, you represent that you are 13 or older. The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13.
If a parent or guardian wishes for a child under 13 to use the Service, the parent or guardian must create and control the Account, must not share the account password with the child, assumes full responsibility for the child's use of the Account, and must remain nearby while the child uses it.
You represent that you have the legal capacity to enter into this Agreement and, if you are creating an Account on behalf of an organization, that you are authorized to bind that organization to this Agreement.

4. Trial

An eligible User may access a free Trial consisting of seven separate days on which they actively log in to the Service (not seven consecutive calendar days). No payment method is required to begin a Trial.
The Trial must be completed within 30 days of signup. If the seven login-days are not completed within that window, or upon your eighth login attempt — whichever occurs first — you will be prompted to enter payment information to continue using the Service.
A User is eligible for a Trial only if they have not held an active Subscription or Lifetime Access, and have not used a Trial, at any point in the preceding 12 months. We reserve the right to deny or revoke Trial access, and to charge for continued use, if we determine a Trial was accessed in violation of this eligibility rule.

5. Plans and Billing

We currently offer the following Plans:

Monthly Subscription: $10/month (promotional price: $5/month)
Annual Subscription: $80/year (promotional price: $40/year)
Lifetime Access: $250 one-time payment (promotional price: $125)

Subscriptions are billed in advance on a recurring basis through our payment processor, Stripe, Inc., and renew automatically until cancelled. Pricing for Monthly and Annual Subscriptions may change at any time; existing Subscribers are not guaranteed to retain prior pricing upon renewal. Lifetime Access is billed once, in full, at the time of purchase, and does not renew.

We use a third-party payment processor (Stripe) to bill your Subscription. Charges are attempted on your regular billing date each cycle; your bank or card issuer may take a day or two to post the transaction to your statement.

Lifetime Access. "Lifetime" means the earlier of (i) the Lifetime Access holder's death, or (ii) Scales By Suzy ceasing to be offered as a product or service, including discontinuation, sale of the underlying business or app to a third party who does not assume this obligation, or cessation of operations by Company. Lifetime Access does not transfer to another person upon the Lifetime Access holder's death or otherwise, and does not guarantee any particular feature set, uptime, or level of support — only continued account access for as long as the Service is offered under this Agreement. Except as provided in our Refund Policy for early discontinuation, Lifetime Access is non-refundable.

Future Premium Features. If we introduce premium features to the Service in the future, Lifetime Access holders will receive access to those features at no additional cost. Subscribers are not guaranteed access to future premium features; we may offer such features as part of an existing Plan, as a trial, as a paid upsell, or not at all, at our discretion.

Feedback-Based Extensions. Paying Users, and Users granted comped or beta access under the Comped and Beta Access subsection below, who submit three or more pieces of reasonable and unrepeated feedback within a rolling 30-day period will receive one additional free month of access. A single submission of significant value may also earn a one-month extension. Feedback that duplicates a suggestion already submitted by another User may not qualify, at our discretion. Earned extensions stack — each qualifying extension adds to any remaining free time rather than replacing it. Whether feedback is reasonable or valuable is determined at our discretion.

Referral Rewards. A Paying User who refers a new User receives one free month of access once the referred User becomes a Paying User — that is, upon their first payment, not upon signup.

Free months are applied as a billing credit through our payment processor; because of processing timing, an earned free month may appear on your next billing cycle or the one after that. Earned free months, however granted, have no cash value and are not redeemable for a refund. If your Subscription is cancelled before an earned free month(s) has been applied to your account, the free month(s) is forfeited.

Comped and Beta Access. We may grant complimentary access to select beta testers or other individuals at our sole discretion, either on a permanent basis or for a defined period (currently 30 days) contingent on continued qualification for Feedback-Based Extensions above. If beta or comped access is granted to a Trial User, the comped period begins when the Trial ends, not while the Trial is still running. Where access is contingent rather than permanent, access ends when the User's earned time runs out, at which point continued access requires a Subscription or Lifetime Access purchase. Comped access does not constitute a purchase and confers no ownership or refund rights.

6. Cancellation

Subscribers may cancel their Subscription at any time through the self-service Customer Portal accessible from account settings, or by contacting us at the email address in Section 19. Cancellation takes effect at the end of the current billing period — access continues until then, and you will not be billed again afterward. Lifetime Access has no recurring charge and nothing to cancel.

Account Deletion. If you request deletion of your Account and associated data, you must first cancel any active Subscription, or request cancellation and deletion together — we will not delete an Account while a Subscription is active. Because Lifetime Access has no cancellation mechanism, requesting deletion of a Lifetime Access Account forfeits your Lifetime Access and all future ability to use the Service. This forfeiture is permanent, is not refundable, and cannot be reversed.

8. Acceptable Use

Your Account is personal to you. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.
You agree not to: (i) use the Service for any unlawful purpose; (ii) attempt to gain unauthorized access to the Service or any related systems; (iii) reverse engineer, decompile, or scrape the Service; (iv) share your Account credentials except as permitted under Section 3; or (v) use the Service in any manner that could disable, overburden, or impair it.
We may investigate and take appropriate action against anyone who, in our sole discretion, violates this Section, including suspending or terminating an Account.

9. Intellectual Property

The Service, including its software, design, and Content, is owned by Company and is protected by applicable intellectual property laws. Access to the Service under your Trial, Subscription, or Lifetime Access grants you a limited, personal, non-transferable, revocable license to use the Service for your own learning. You may not copy, reproduce, distribute, or create derivative works from the Service without our prior written permission.
Copyright Complaints. If you believe Content available through the Service infringes your copyright, send a notice to the email address in Section 19 that includes: (i) a description of the copyrighted work you claim has been infringed; (ii) identification of the material you claim is infringing and its location within the Service; (iii) your contact information; (iv) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (v) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner. We reserve the right to remove Content and to suspend or terminate the Accounts of repeat infringers.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL RESULT IN ANY PARTICULAR LEARNING OUTCOME.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE FOREGOING LIMITATIONS MAY NOT APPLY TO YOU TO THAT EXTENT.

12. Indemnification

You agree to defend, indemnify, and hold harmless Company, its affiliates, and their respective officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of or related to (a) your breach of this Agreement, (b) your use of the Service, or (c) your violation of any applicable law or the rights of a third party. This obligation will survive termination of your Account.

13. Termination

We may suspend or terminate your Account for violation of this Agreement, non-payment, or abuse of the Service. We will make reasonable efforts to notify you before doing so, except in cases of suspected fraud or abuse. Upon termination, your right to use the Service ends immediately. Sections 9, 10, 11, 12, 16, and 17 will survive termination of this Agreement.

14. Force Majeure

We will not be liable for any delay in or failure to perform our obligations under this Agreement resulting from causes outside our reasonable control, including acts of God, natural disaster, war, terrorism, labor conditions, power or internet outages, or governmental action.

15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Oklahoma, without regard to its conflict-of-law principles.
Any dispute arising from this Agreement or the Service will be resolved exclusively in the state or federal courts located in Oklahoma, and you consent to the personal jurisdiction of those courts.
You agree that any claim or dispute against Company may be brought only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

16. Assignment

You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. We may assign this Agreement, in whole or in part, at any time without notice to you, including in connection with a merger, acquisition, or sale of assets.

17. General Provisions

Entire Agreement. This Agreement, together with our Privacy Policy and Refund Policy, constitutes the entire agreement between you and Company regarding the Service and supersedes any prior agreements or understandings, whether written or oral.
Severability. If any provision of this Agreement is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any provision of this Agreement will not be deemed a waiver of that or any other provision.
Notices. We may send notices to you at the email address associated with your Account; such notices are deemed received one Business Day after they are sent. You may send notices to us at the email address in Section 19.

18. Changes

We may update this Agreement from time to time. Continued use of the Service after changes take effect means you accept the updated Agreement.
